04 — Client Projects

For client projects, ownership and usage rights are determined by the applicable project agreement.

Unless a signed agreement states otherwise, concepts, drafts, unused explorations, working files, source files, internal processes, and rejected directions remain the property of Studio North.

Final deliverables are transferred or licensed according to the terms agreed for the relevant project.

05 — Client Materials

If you provide Studio North with logos, photographs, copy, trademarks, software, data, or other materials, you confirm that you have the necessary rights or permissions to provide and use those materials.

You remain responsible for materials you supply to us.

You agree that Studio North may use those materials solely as necessary to perform the agreed services.

06 — Payments

Project fees, deposits, milestones, payment schedules, expenses, and applicable taxes will be defined in the relevant proposal or agreement.

Unless otherwise agreed in writing, work may be paused if required payments become overdue.

Additional work outside the agreed scope may require a separate fee or written approval.

07 — Timelines & Approvals

Project timelines depend on communication, feedback, approvals, content delivery, and other dependencies.

Delays caused by missing information, delayed feedback, third-party services, or circumstances outside our reasonable control may affect delivery dates.

Once a deliverable has been approved, subsequent changes may be treated as additional work.

08 — Third-Party Services

Some projects may rely on third-party platforms, software, hosting providers, APIs, fonts, plugins, or other services.

Studio North is not responsible for changes, interruptions, outages, pricing changes, security incidents, or availability issues caused by third-party providers.

09 — Portfolio & Promotion

Unless otherwise agreed in writing, Studio North may display completed client work in its portfolio, website, social media, presentations, awards submissions, and other promotional materials.

If a project is confidential or subject to an NDA, the applicable confidentiality agreement takes precedence.

10 — Disclaimers

We make reasonable efforts to keep our website accurate and available.

However, the website and its content are provided on an "as available" basis.

We do not guarantee that:

The website will always be available
Every piece of information will always be accurate or complete
The website will be free from errors
Third-party services will always function
The website will be free from security vulnerabilities

11 — Limitation of Liability

To the maximum extent permitted by applicable law, Studio North will not be responsible for indirect, incidental, consequential, special, or punitive losses arising from your use of the website or services.

Any dispute will be subject to the jurisdiction of the courts having appropriate jurisdiction under applicable law.

These Terms, together with any applicable project agreement, proposal, statement of work, privacy policy, or other written agreement, form the applicable understanding between you and Studio North regarding the relevant services.

If there is a conflict between these Terms and a signed project agreement, the signed project agreement will generally control for that specific project.
